§1

Scope of Services

Elour Creative provides content production and social media services — including photography, short-form video, and the planning, scheduling and management of social media channels — delivered as one-off shoots or monthly packages. Services are provided by a two-person studio operating under IIY WELLNESS OÜ. The legal representative is Simone.

Content is produced on location, in studio, or by building and sourcing a scene as the project requires. Where a client ships a physical product, Elour Creative coordinates internal logistics at no additional cost unless otherwise agreed.

§2

Contract Formation

A binding contract is formed when:

• The client signs the proposal document or sends written confirmation by email, and
• The first invoice (50% deposit) is paid within the stated due date.

Month 1 — Discovery Month: The first month carries no further commitment. After delivery, the client decides whether to continue. No penalty applies if the client chooses not to proceed.

Month 2 onwards — Retainer: If the client continues, a minimum commitment of 3 calendar months applies from month two. Verbal agreements do not constitute a binding contract.

§3

Payment Terms

• 50% of the monthly fee is invoiced upon contract signing (deposit). Work begins after this payment is received.
• 50% of the monthly fee is invoiced upon preview approval, payable before final file delivery.
• Invoices are due within 14 days of issue.
• Late payments accrue interest at 5% above the ECB base rate per annum from the due date.
• Final files are withheld until full payment for that month is confirmed.
• Prices are stated in EUR and exclude VAT unless otherwise noted.

Delivery & Timelines

• The Day – finished files delivered within 10 working days of the shoot.
• Content – monthly deliverables agreed in the content plan and delivered on the schedule set for that month.
• Content & Social – production delivered per the monthly plan; posting, stories and community management run continuously across the month.
• Rush delivery (add-on, €250) – 4 days less than the standard timeline.

For shoots, the delivery clock starts once the brief is confirmed in writing and — where a physical product is being shipped to us — the product has arrived. Elour Creative is not responsible for delays caused by late shipping, customs, or incomplete briefs submitted by the client.

§5

Revisions

A revision round means one consolidated set of feedback submitted by the client within 48 hours of preview delivery, addressed by Elour Creative in a single production pass.

Revisions include: adjustments to pacing, colour grading, text overlays, and cropping. The following are not included in a revision round and may be billed separately:

• Feedback delivered in multiple separate messages after the initial submission
• Requests for entirely new creative direction or additional scenes
• Changes requested after the 48-hour feedback window has closed
• New scripts or concept changes after production has begun

Additional revision rounds are available at €80 per round. A clear brief is confirmed before production starts to minimise revisions.

§6

Usage Rights & Intellectual Property

On full payment for each month's work, or for a one-off shoot, the client receives a perpetual, worldwide licence to use the delivered content across all of their own commercial channels — organic social, paid advertising, website, email, print, and any other marketing channel the client owns or operates. There is no per-platform fee and no time limit on this use.

• The content may not be resold or sublicensed to third parties as standalone material, or used in a way that is misleading or unlawful.
• Use by external partners or retailers in their own separate campaigns is not included in the standard licence and can be arranged separately before production.
• Elour Creative retains the right to display the delivered content in its portfolio and promotional materials, unless the client requests otherwise in writing.

§7

Cancellation & Termination

The first month (Discovery Month) carries no retainer commitment. If the client does not continue after month one, no further invoices are issued.

Once the retainer begins (month two), a minimum of 3 calendar months applies. After this period, contracts continue on a monthly rolling basis and may be cancelled with 30 days' written notice before the next billing date.

Cancellation during the 3-month retainer minimum requires payment for all remaining months in the commitment. No refunds are issued for months already invoiced and paid.

Elour Creative may terminate the contract immediately and without notice in case of: non-payment beyond 30 days, breach of these terms, abusive conduct toward team members, or a request to produce content that is illegal, harmful, or violates third-party rights.

§8

Client Obligations

• Where the project involves shipping a physical product, the client is responsible for sending it to the address provided, and shipping costs (including customs, duties, and packaging) are covered by the client.
• The client must provide a complete brief within 5 business days of contract signing.
• The client warrants that any products shipped are legal, safe to handle, and compliant with EU regulations.
• Where a shoot takes place at the client's premises, the client provides reasonable access and a safe working environment for the agreed shoot day.
• Feedback must be submitted in a single consolidated document or message per revision round.

§9

Liability

Elour Creative's total liability for any claim arising from these terms is limited to the value of the monthly retainer fee for the month in which the issue occurred.

Elour Creative is not liable for indirect, incidental, or consequential damages including but not limited to: lost revenue, advertising performance outcomes (CTR, ROAS, conversion rate), or reputational damage. Content performance is not guaranteed.

§10

Governing Law

These terms are governed by the laws of Estonia. Any disputes shall be resolved in the competent courts of Estonia.

Both parties agree to attempt good-faith mediation before initiating litigation. Elour Creative will always prefer a direct conversation to resolve any issue.
